Terms of Service

Visatics Ltd., a company registered in England and Wales (company number 15339210) with its registered address at 51 Audley Park Road, UK. BA1 2XL, trading as SupaSafe ("SupaSafe", "we", "us" or "our") agrees to furnish services to the Subscriber (the "Subscriber", "you" or "your"), subject to the following Terms of Service. Use of SupaSafe's service constitutes acceptance and agreement to SupaSafe's Terms of Service. SupaSafe reserves the right to modify these Terms of Service. Where we make material changes, we will notify you by email or by posting a notice on our website prior to the changes taking effect.

1. Use of Services

You may use our services, provided that you are of legal age to form a binding contract and are not barred from receiving such services under the laws of the United Kingdom or other applicable jurisdictions. In order to access our services, you are required to provide current and factual identification, contact, and other information as part of the registration process. You are responsible for the confidentiality of your account information and for all activities that occur under your account. You are solely responsible for all content within your account, including any database data that is backed up through the SupaSafe service. You agree to immediately notify SupaSafe of any unauthorised use of your account or any other breach of security. SupaSafe will not be liable for any loss or damage as a result of your failure to provide us with accurate information or to keep your account secure.

2. Description of Service

SupaSafe provides automated database backup services for Supabase projects. The service includes, but is not limited to, scheduled database backups, secure storage of backup data, and backup restoration capabilities. The specific features available to you depend on your subscription tier. SupaSafe is an independent service and is not affiliated with, endorsed by, or officially connected to Supabase, Inc.

3. Acceptable Conduct

You are responsible for the actions of all users of your account and any data that is created, stored, displayed by, or transmitted by your account while using SupaSafe. You will not engage in any activity that interferes with or disrupts SupaSafe's services or networks connected to SupaSafe.

4. Prohibited Usage

You agree that any of the below activities are considered prohibited usage and will result in immediate account suspension or cancellation without a refund. SupaSafe may also pursue civil remedies without providing advance notice.

Misuse of System Resources: Intentional misuse of system resources, including but not limited to employing programs that consume excessive network capacity, CPU cycles, or disk IO, or attempting to use the service to store data beyond your subscription tier's allocated limits through any means that circumvents our usage controls.

Unauthorised Access: Attempting unauthorised and/or illegal access of computers, networks, and/or accounts not belonging to the party seeking access. Any act which interferes with the services of another user or network. Any act relating to the circumvention of security measures.

Unlawful Use: SupaSafe and the services it provides may only be used for lawful purposes. Transmission, distribution, or storage of any information, data, or material in violation of United Kingdom law, or any other applicable law, is prohibited. This includes, but is not limited to, material protected by copyright, trademark, trade secret, or other intellectual property rights. SupaSafe's services may not be used to facilitate infringement of these laws in any way.

Harmful Activities: Engaging in illegal activities or engaging in activities harmful to the operations of SupaSafe or SupaSafe's customers.

Providing False Data: Providing false data on any contract or application, including fraudulent use of payment credentials.

5. Invoicing and Payment

You agree that SupaSafe shall be permitted to charge your chosen payment method on a monthly or annual basis in advance of providing services. Payment is due upon invoicing. Service may be interrupted on accounts that reach 15 days past due. Accounts that are not collectable by SupaSafe may be turned over to an outside collection agency for collection.

The Subscriber is aware that SupaSafe may prospectively change the specified rates and charges from time to time. We will provide reasonable notice of any price changes before they take effect.

SupaSafe is not responsible for any additional bank fees, interest charges, finance charges, overdraft charges, or other fees resulting from charges billed by SupaSafe. Currency exchange settlements will be based on agreements between you and the provider of your payment method. Pro-rated credits will not be issued for unused services when the Subscriber retains any active service.

6. Third-Party Services

SupaSafe integrates with third-party services, including but not limited to Supabase, cloud storage providers, and payment processors. You agree that SupaSafe is not responsible for any additional fees charged by third-party service providers, nor for any changes, outages, or discontinuation of third-party services that may affect SupaSafe's functionality. Your use of Supabase and other third-party services is subject to the respective terms and conditions of those providers.

7. Support

SupaSafe provides technical support to subscribers via email. SupaSafe provides support related to the functioning of the SupaSafe application and its backup and restoration features. SupaSafe does not offer technical support for Supabase-specific issues, database configuration, application development, or any other issues outside the scope of the SupaSafe service.

8. Account Cancellation or Suspension

SupaSafe reserves the right to suspend or terminate access to any Subscriber if, in the judgement of SupaSafe, the Subscriber's account is the source or target of a violation of any of the Terms of Service or for any other reason which SupaSafe reasonably determines. SupaSafe will use reasonable care in notifying the Subscriber and in resolving the problem in a method resulting in the least amount of service interference. SupaSafe reserves the right to terminate service without notice for continued and repeated violations of the Terms of Service.

If inappropriate activity is detected, all accounts of the Subscriber in question will be deactivated until an investigation is complete. Prior notification to the Subscriber is not assured. The Subscriber will not be credited for the time the Subscriber's accounts were suspended.

If at any time it becomes necessary for SupaSafe to cancel a Subscriber's service without cause, SupaSafe will provide 30 days' advance notice.

You may cancel the service at any time through the account settings within the SupaSafe web application. Cancellation of service does not relieve the Subscriber of responsibility for the payment of all accrued charges.

Right of Withdrawal (Consumer Subscribers)

If you are a consumer subscribing from the United Kingdom or European Economic Area, you have the right to withdraw from the contract within 14 days of subscribing, without giving any reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, you must inform us of your decision by contacting support@supasafe.co with a clear statement of your wish to withdraw.

If you request that the service begins during the withdrawal period and you subsequently exercise your right of withdrawal, you will be liable to pay for the service provided up to the point of withdrawal on a pro-rata basis. By using the service during the withdrawal period, you acknowledge and consent to the commencement of the service and understand that you will lose your right of withdrawal once the service has been fully performed.

9. Data and Backups

The Subscriber is solely responsible for the content and integrity of the Subscriber's source databases. SupaSafe provides automated backup functionality as described in the applicable subscription tier, but does not guarantee the completeness, accuracy, or recoverability of any backup in all circumstances. While SupaSafe takes reasonable measures to ensure backups are performed reliably, SupaSafe shall have no liability for any data that may be lost or corrupted.

Upon cancellation or termination of your account, SupaSafe will retain your backup data for a period of 30 days, after which it will be permanently deleted. You are responsible for exporting or downloading any backup data you wish to retain prior to this deletion.

10. Security

SupaSafe employs industry-standard security measures to protect your backup data during transmission and storage. However, the Subscriber is solely responsible for maintaining the security of the Subscriber's Supabase database credentials and any other credentials provided to SupaSafe for the purpose of performing backups. SupaSafe shall have no liability for any security breaches resulting from compromised Subscriber credentials.

11. Disclosure to Law Enforcement

The Subscriber agrees that SupaSafe may disclose any and all Subscriber information, including account history and account usage data, to any law enforcement authority, regulatory body, or court that provides a valid legal request, court order, or warrant, in accordance with applicable United Kingdom law, without further consent or notification to the Subscriber, except where such notification is required by law. In addition, SupaSafe shall have the right to terminate all services set forth in this Agreement where required or permitted by law.

12. Warranty Disclaimer

We have no special relationship with or fiduciary duty to you. You acknowledge that we have no duty to take any action regarding which Subscribers gain access to the Services, what content you access via the Services, or how you may interpret or use the content.

The Services and content are provided "as is", "as available" and without warranty of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose, and any warranties implied by any course of performance or usage of trade, all of which are expressly disclaimed to the fullest extent permitted by law. We, and our directors, employees, agents, suppliers, partners, and content providers do not warrant that: (i) the Services will be secure or available at any particular time or location; (ii) any defects or errors will be corrected; (iii) any content or software available at or through the Services is free of viruses or other harmful components; or (iv) the results of using the Services will meet your requirements. Your use of the Services is solely at your own risk.

Nothing in these Terms of Service shall exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.

13. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall SupaSafe, nor its directors, employees, agents, partners, suppliers, or content providers, be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory with respect to the Services: (i) for any lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, compensatory, or consequential damages of any kind whatsoever (however arising); (ii) for any bugs, viruses, trojan horses, or the like (regardless of the source of origination); or (iii) for any direct damages in excess, in the aggregate, of fees paid to us for the particular Services during the immediately previous three-month period.

Nothing in these Terms of Service shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter for which liability cannot be excluded or limited under applicable United Kingdom law, including the Consumer Rights Act 2015 where applicable.

14. Indemnification

You agree to indemnify and hold harmless SupaSafe and Visatics Ltd., including its directors, officers, employees, and agents, for any violation of these Terms of Service that results in loss to SupaSafe or the bringing of any claim against SupaSafe by any third party. This means that if SupaSafe is sued because of your activity or the activity of any user of your account, you will bear the costs of any damages awarded against SupaSafe, plus all reasonable costs and legal fees.

15. Data Protection

SupaSafe processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Details of how we collect, use, and protect your personal data are set out in our Privacy Policy, which forms part of these Terms of Service. By using the SupaSafe service, you acknowledge that you have read and understood our Privacy Policy.

Where you use SupaSafe to back up databases containing personal data of third parties, you remain the data controller for that data. SupaSafe acts as a data processor on your behalf in respect of such data. You are responsible for ensuring that you have the appropriate legal basis and authority to process any personal data contained within your database backups.

16. Notice

You agree that SupaSafe may provide you with notices, including those regarding changes to the Terms of Service, by email or by postings on the SupaSafe website or application.

17. Entire Agreement

These Terms of Service (including any policies, guidelines, or amendments that may be presented to you from time to time, and our Privacy Policy) constitute the entire agreement between you and SupaSafe and govern your use of SupaSafe's services, superseding any prior agreements between you and SupaSafe for the use of SupaSafe's services.

18. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident, and nothing in these Terms of Service affects your rights as a consumer to rely on such mandatory provisions of local law.

19. Waiver and Severability

The failure of SupaSafe to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service shall remain in full force and effect.

20. Limitation Period

Subject to applicable law, any claim or cause of action arising out of or related to the use of SupaSafe's services or these Terms of Service must be commenced within six (6) years, in accordance with the Limitation Act 1980. Nothing in this clause shall override any limitation periods prescribed by applicable United Kingdom law or affect your statutory rights as a consumer.
